1. Acceptance of Terms

By creating an account, accessing, or using the SoloBudd website, mobile application, or any related services (collectively, the “Platform”), you agree to be bound by these Terms & Conditions (“Terms”) and our Privacy Policy.

If you do not agree to all of these Terms, do not use our Platform.

To use SoloBudd, you must be at least 18 years of age and have the legal capacity to enter into this agreement.

2. Eligibility

You represent and warrant that you are:

• At least 18 years old.

• Not barred from using our services under applicable law (e.g., you are not on a UK or US sanctioned-persons list).

• Using the Platform for personal, non-commercial use.

• Providing accurate and current information.

We reserve the right to suspend or permanently terminate accounts that violate these terms.

3. User Accounts

You are solely responsible for all activity on your account and for keeping your login credentials secure. You must not impersonate another person or use a false identity.

4. The SoloBudd Platform & Event Types

SoloBudd is a technology platform that connects solo travellers. We are not a travel agency, tour operator, or dating service. Our Platform facilitates two distinct types of gatherings:

• 1. User-Generated Meetups: These are informal meetups, activities, and events created and organised by our users to connect with each other.

• 2. Official SoloBudd Events: From time to time, we, SoloBudd Ltd., may choose to organise, host, and manage our own official events.

An event is only considered an "Official SoloBudd Event" if it is explicitly and clearly marked by us as such. All other meetups, regardless of size or location, are "User-Generated Meetups."

We do not organise, operate, control, or endorse any User-Generated Meetups. All liability disclaimers in Section 9 and 10 apply in full to all User-Generated Meetups.

5. Code of Conduct: Your Responsibilities

You agree to be a civilised, tolerant, and respectful member of our community. You must not:

• Post any content or engage in behaviour that is aggressive, insulting, dehumanising, or hateful. This includes, but is not limited to, content that is racist, sexist, homophobic, transphobic, ableist, or discriminatory based on religion, nationality, or any other protected characteristic.

• Harass, bully, threaten, stalk, or harm any other user or any SoloBudd employee or representative. Post or share offensive, illegal, defamatory, pornographic, or infringing content.

• Post or share offensive, illegal, pornographic, or infringing content.

• Misuse the Platform for spam, bots, scams, or commercial solicitation.

• Violate any local, national, or international laws.

6. Community, Debate, and Reporting

6.1. The Spirit of Travel & Debate Travel is about expanding your mind. We encourage open-minded, passionate, and respectful debate on topics like politics, religion, economics, and culture. However, this is a privilege, not a right. You agree that these conversations must never become personal, abusive, or harassing. If you cannot debate an idea without attacking the person, do not participate.

6.2. Your Responsibility: Block vs. Report We are a platform for adults. We expect you to manage your own interactions. If you find a user "annoying" or have a minor disagreement, please use the "Block" feature.

6.3. Reporting Serious Abuse You should only use the "Report" feature for serious and harmful violations of our Code of Conduct (e.g., threats, hate speech, scams, physical or verbal abuse).

6.4. False Reporting We will not tolerate the "Report" feature being used for spite, to get back at a user, or for "tic-for-tac" arguments. Abusing the reporting system is a serious violation of these Terms and may result in your own account being banned.

6.5. Evidence If you experience or witness harmful behaviour, we strongly encourage you to take screenshots or screen recordings (where legally permissible) to provide as evidence.

7. Consequences & Enforcement

We reserve the sole right to determine if a violation of these Terms has occurred.

• Depending on the severity, we may issue a warning, remove content, or suspend your account.

• We may try to educate users on cultural misunderstandings, but this is at our discretion.

• Severe, harmful, or repeated offenses will result in a permanent ban.

8. Content Ownership & License

You retain ownership of the content you post (photos, reviews, forum posts, etc.). However, you grant SoloBudd Ltd. a non-exclusive, worldwide, royalty-free, sub-licensable license to use, host, store, display, and distribute this content solely for the purpose of operating, improving, and promoting the Platform.

9. Community Safety & Assumption of Risk

YOU ARE SOLELY RESPONSIBLE FOR YOUR OWN SAFETY, CONDUCT, AND DECISIONS.

9.1. General Interactions SoloBudd does not conduct criminal background checks, identity verification (unless we explicitly state we are implementing KYC), or vet users in any way. We cannot guarantee the identity or behaviour of any user. You agree to use extreme caution in all interactions, both online and offline.

9.2. Risk of User-Generated Meetups You are 100% solely responsible for your safety at any User-Generated Meetup. You acknowledge and agree that we do not supervise, control, or take any responsibility for these meetups. You knowingly and voluntarily assume all risks associated with attending User-Generated Meetups, including all risks of physical or emotional harm, injury, or death.

9.3. Risk of Official SoloBudd Events You agree that you are an adult and are attending any "Official SoloBudd Event" at your own free will.

• Your Personal Conduct: You are solely responsible for your own conduct, personal safety (e.g., watching where you step), and personal belongings.

• Conduct of Other Attendees: We are not responsible for the conduct or actions of any other attendee. You agree that if you engage in a dispute, fight, or any altercation with another user, you will not hold SoloBudd Ltd. liable for any resulting harm or damages.

• Assumption of Risk: You acknowledge that social events carry inherent risks (e.g., slips, trips, falls, and the unpredictable actions of other adults). You voluntarily assume all such risks and agree that SoloBudd Ltd. is not liable for any personal injury or loss, unless it is caused directly by our own gross negligence (e.g., a failure to address a major, known safety hazard at a venue we control).

10. DISCLAIMERS AND LIMITATION OF LIABILITY

PLEASE READ THIS SECTION CAREFULLY. IT LIMITS OUR LIABILITY TO YOU.

10.1. "AS IS" SERVICE The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the Platform will be secure, error-free, or always available.

10.2. NO RESPONSIBILITY FOR USER ACTIONS SOLOBUDD IS A TECHNOLOGY PLATFORM, NOT A CHAPERONE. WE ARE NOT RESPONSIBLE FOR THE CONDUCT, CONTENT, OR ACTIONS OF ANY USER. THIS APPLIES TO ALL INTERACTIONS: ON THE PLATFORM, AT USER-GENERATED MEETUPS, AND BETWEEN ATTENDEES AT OFFICIAL SOLOBUDD EVENTS. WE TAKE NO LIABILITY FOR WHAT IS SAID OR DONE BY USERS. WHILE WE WILL DO OUR UTMOST TO REMOVE TROUBLESOME USERS OR CONTENT, WE ARE UNDER NO OBLIGATION TO DO SO AND ACCEPT NO LIABILITY FOR FAILING TO DO SO.

10.3. WAIVER OF CLAIMS (THE "NO SUE" CLAUSE) TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU HEREBY RELEASE AND AGREE NOT TO SUE SoloBudd Ltd., ITS DIRECTORS, EMPLOYEES, OR AGENTS, FOR ANY AND ALL DAMAGES, CLAIMS, LIABILITIES, OR LOSSES (WHETHER DIRECT, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL) ARISING FROM:

• (I) THE ACTIONS, CONTENT, OR BEHAVIOUR OF OTHER USERS;

• (II) ANY USER-GENERATED MEETUPS, OR ANY LOCATIONS OR BUSINESSES YOU ATTEND OR DISCOVER THROUGH THE PLATFORM;

• (III) YOUR ATTENDANCE AT OR TRAVEL TO/FROM ANY OFFICIAL SOLOBUDD EVENT (SAVE FOR CLAIMS ARISING FROM OUR OWN GROSS NEGLIGENCE);

• (IV) ANY OTHER INTERACTION, WHETHER DIRECTLY OR INDIRECTLY, FACILITATED BY THE PLATFORM.

10.4. LIMITATION OF LIABILITY TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SoloBudd Ltd.'s TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF YOUR USE OF THE PLATFORM (INCLUDING ATTENDANCE AT ANY OFFICIAL EVENT) EXCEED THE GREATER OF (A) ANY FEES YOU PAID TO US IN THE 12 MONTHS PRIOR TO THE CLAIM, OR (B) FIFTY POUNDS STERLING (£50.00).

11. Data Security & Third-Party Infrastructure

We implement reasonable technical safeguards (such as encryption and depersonalisation where appropriate) to protect your data. HOWEVER, NO SYSTEM IS 100% SECURE. YOU ACKNOWLEDGE THAT OUR PLATFORM IS DEPENDENT ON THIRD-PARTY PROVIDERS (LIKE AWS, GOOGLE AND SUPABASE) AND WE DO NOT OWN OR CONTROL THE PHYSICAL SERVERS. THEREFORE, WE ARE NOT LIABLE FOR ANY UNAUTHORISED ACCESS, DATA BREACHES, HACKS, OR LOSS OF DATA, UNLESS IT IS THE DIRECT RESULT OF OUR OWN GROSS NEGLIGENCE OR WILFUL MISCONDUCT.

12. Termination

We may suspend or terminate your account at any time, for any reason (especially for violations of these Terms), at our sole discretion and without notice. You may delete your account at any time via your profile settings.

13. Intellectual Property

All branding, logos, software, and content on the Platform (excluding User-Generated Content) are the exclusive property of SoloBudd Ltd. and are protected by copyright, trademark, and other intellectual property laws.

14. Privacy

Your use of SoloBudd is governed by our Privacy Policy, which explains how we collect, use, and protect your personal data.

15. Changes to Terms

We reserve the right to update these Terms at any time. We will notify you of significant changes (e.g., via the app or by email). Your continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms.

16. Governing Law and Dispute Resolution

These Terms and any dispute arising from them shall be governed by and construed in accordance with the laws of England and Wales. You agree to submit to the exclusive jurisdiction of the courts of England and Wales to resolve any legal matter arising from these Terms.
